2 Sales Agreement Terms & Conditions

5 Payment Terms & Conditions

5.2 Late Payment Charges

A 2% late fee is applied for payments exceeding 30 days.

5.3 Refund & Cancellation Policy

6 Shipping & Delivery Terms

- War, terrorism, labor strikes
- Raw material shortages

10.2 Obligations During Force Majeure

Locus will notify buyers within 7 days of a force majeure event.
Deliveries will be rescheduled or canceled based on circumstances.

11 Termination & Breach of Contract

11.1 Grounds for Termination

Non-payment for more than 60 days.
Breach of confidentiality or intellectual property.
Violation of compliance regulations.

11.2 Effect of Termination

Buyer must clear all pending payments immediately.
Locus retains the right to repossess delivered goods (if unpaid).

12 Anti-Bribery & Ethical Business Practices

12.1 Compliance with International Laws

Locus complies with FCPA, UK Bribery Act, and Indian Anti-Corruption Laws.
Buyers and suppliers must not engage in bribery or unethical practices.

12.2 Reporting Mechanism

Any unethical activity should be reported to Locus Ethics Committee.

13 Data Protection & Privacy Policy

13.1 Customer Data Protection

All customer details are stored securely and not shared with third parties except for order fulfillment.

13.2 GDPR & IT Act Compliance

European customers’ data is protected under GDPR.
Indian users are protected under the IT Act 2000.

14 Intellectual Property & Trademark Protection

14.1 Locus Brand Usage

Buyers and distributors cannot use the Locus brand name without written permission.
Unauthorized use of logos, branding, and marketing materials is strictly prohibited.

14.2 Violation Penalty

Any violation will result in legal action and monetary damages.

15 Dispute Resolution & Legal Jurisdiction

16 Special Terms for Custom & OEM Orders

Buyers must approve the final prototype before bulk production.

16.2 Tooling & Molds Ownership

If buyer pays for molds or special tooling, they remain buyer’s property.
Otherwise, all tooling is owned by Locus.

17 Export Compliance & Sanctions Policy

17.1 Restricted Countries

Locus does not sell to sanctioned countries (as per UN, US, EU, Indian Trade Laws).

17.2 Export Documentation & Legal Compliance

Buyer must provide accurate end-use details for compliance purposes.
False declarations may result in order cancellation and legal action.

18 Additional Payment Terms & Credit Policy

18.1 Payment Modes & Terms

Accepted payment methods: Bank Transfer, LC (Letter of Credit), SWIFT, TT, PayPal (for small orders).
Advance payment required for new customers (30-50% before production, balance before dispatch).

18.2 Late Payment Penalty

Payments delayed beyond 30 days from due date will incur a 1.5% per month interest charge.

18.3 Credit Limit & Eligibility

Credit terms available only for repeat buyers with a minimum 6-month transaction history.
Credit limit will be reviewed quarterly based on payment performance.

19 Bulk Order & Long-Term Contract Clauses

19.1 Volume-Based Pricing

Discounts available for bulk orders above 10,000 units per product.
Pricing adjustments are reviewed quarterly based on material cost fluctuations.

19.2 Minimum Order Quantity (MOQ)

Custom orders have higher MOQs depending on complexity.

19.3 Long-Term Contract Benefits

Customers signing a 12-month contract get priority production slots and locked pricing.

20 Quality Assurance & Inspection Terms

20.1 Pre-Shipment Inspection (PSI)

Third-party inspection (SGS, Bureau Veritas, or buyer-appointed agency) is allowed before dispatch.
Inspection cost is borne by the buyer unless agreed otherwise.
